Article 1. General Provisions

1.1. The National Olympic Committee of Ukraine is non-profit all-Ukrainian non-governmental organisation with unlimited time of activity that acts in accordance with the Constitution of Ukraine, the Olympic Charter, the Law of Ukraine “On Civil Unions”, current legislation of Ukraine and the present Statutes.

1.2. Since its registration date the NOC of Ukraine has been granted the rights of the juridical person, it has independent balance, banking accounts, the seal with its own name, stamps, official letterheads, symbolics. The Executive Board of the International Olympic Committee should approve the emblem, anthem and flag approved by the General Assembly. Symbolics of the NOC of Ukraine are registered in the order determined by the law.

1.2.1. The emblem of the NOC of Ukraine is an integrated design and consists of the Olympic rings in blue colour which are placed above the small State Emblem of Ukraine in gold colour against blue background. The emblem of the NOC of Ukraine was approved by the IOC Executive Board on 15 June 1992.
The emblem is registered as the logo for the products and services of the NOC of Ukraine and is protected by the law (Certificate # 10567 of 31 August 1998 issued by the State Patent of Ukraine).

1.3. The NOC of Ukraine is the exclusive owner of all rights relating to the emblem, anthem, flag and logo for the products and services of the NOC of Ukraine including all rights to the use thereof.
1.4. The use of the symbolics of the NOC of Ukraine should contribute to the development of the Olympic Movement and not to detract from its dignity: any association between the symbolics of the NOC of Ukraine and products or services is prohibited if such association is incompatible with the fundamental principles of the Olympic Charter, the Statutes or the role of the NOC of Ukraine as set out above.
1.5. Paragraphs of the present Statutes preserve their legal force for the whole period of the NOC of Ukraine functioning. If one of the paragraphs of the current Statutes becomes void it should not suspend the validity of the other paragraphs.
1.6. The NOC of Ukraine is liable for its obligations with all its property.
1.6.1. The state and the founders bear no responsibility under the obligations of the NOC of Ukraine and the NOC of Ukraine in its turn takes no responsibility under the obligations of the state and the founders.

1.7. The full name in Ukrainian – Національний олімпійський комітет України.

The full name in English – the National Olympic Committee of Ukraine.

The acronym in Ukrainian – НОК України.

The acronym in English – the NOC of Ukraine.

1.8. The NOC of Ukraine operates all over the territory of Ukraine. The NOC of Ukraine has its local divisions which are established on the basis of territorial principle. In their activity local divisions follow the present Statutes and their Regulations passed by their supreme bodies and approved by the Executive Board.
To get the rights of a juridical person local divisions have to be registered in the order determined by the law. Local divisions, which have no rights of a juridical person, shall legalise their activity by means of the notice of establishing.

1.9. The official language of the NOC of Ukraine is the Ukrainian language and official languages of the International Olympic Committee (hereinafter IOC) are used for international relations.

1.10. The headquarters of the NOC of Ukraine are located to the following address: 42, Esplanadna St., 01601 Kyiv, UKRAINE.


Article 2. Objectives and Tasks

2.1. The purpose of the NOC of Ukraine activity is the development, strengthening and protection of the Olympic Movement in Ukraine, promotion of the spiritual mutual enrichment of people, encouraging the exchange of national culture values within the framework of ideas and principles of Olympism in co-operation with state, non-governmental and other organisations and under the principles of independence and good will and following the interests of Sports and Olympic Movement and protecting the interests of its members.

2.2. The NOC of Ukraine has the exclusive right to represent Ukraine at the Olympic Games and at the regional, continental or world multi-sports competitions patronised by the IOC. Moreover, the NOC of Ukraine is obliged to participate in the Games of Olympiad by sending athletes.

2.2.1. The NOC of Ukraine constitutes, organises and leads its respective delegations at the Olympic Games and at the regional, continental or world multi-sports competitions patronised by the IOC and EOC. The NOC of Ukraine decides upon the entry of athletes proposed by their respective NFs in Olympic sports. Such selection shall be based not only on the sports performance of an athlete but also on his ability to serve as an example to the sporting youth of Ukraine. The NOC of Ukraine must ensure that the entries proposed by NFs in Olympic sports comply in all respects with the provisions of the Olympic Charter.
2.2.2. The NOC of Ukraine provides for the equipment, transport and accommodation of the members of its delegations at the Olympic Games. The NOC of Ukraine contracts for the latter’s benefit adequate insurance covering the risks of accidents (death, disability, illness, medical and pharmaceutical expenses) and third party civil liability. It is also responsible for the behaviour of the members of its delegations.

2.3. The NOC of Ukraine shall have the following objectives:

2.3.1. To develop and protect the Olympic Movement in Ukraine;
2.3.2. To ensure the observance and implementation of the principles and rules of the Olympic Charter in Ukraine, provisions of the IOC Code of Ethics;

2.3.3. To assist in strengthening of image and raise of prestige of the Ukrainian sport at the international level;

2.3.4. To preserve interests of the Olympic Movement in Ukraine in relations with international sports organisations;

2.3.5. To assist with the activity of the subjects of the Olympic Movement in Ukraine;

2.3.6. To encourage both study and preservation of the Olympic history and traditions of Ukraine by promoting Olympic education and culture;

2.3.7. To co-operate with national and international governmental and non-governmental structures for the purpose of performance of statutory tasks;

2.3.8. To take part in Olympic Solidarity programs;

2.3.9. To fulfil fair selection and complete composition of the Olympic Team;

2.3.10. To ensure the observance of the World Anti-Doping Code, to participate in fight against the use of prohibited substances and methods in sport and to participate in the international fight against drug addiction;

2.3.11. To assist with the preparation of Olympic reserves and development of elite sports and sport for all in Ukraine;

2.3.12. To assist in training athletes for participation in competitions at national and international levels;

2.3.13. To propagate the fundamental principles of Olympism at national level and to assist in introducing the Olympism into programs of physical education and sports in educational institutions;

2.3.14. To assist in conducting the Olympic Day of Ukraine open for foreign athletes and Ukrainian Diaspora representatives;

2.3.15. To encourage harmonious development of physical and spiritual strains of people and strengthening their health;

2.3.16. To consider as its responsibility the fight against any form of racial, religious, political, sex violence and discrimination in sport relating to any organisation or individual that is inconsistent with belonging to the Olympic Movement, to act under the principles of mutual understanding, friendship, solidarity and fair play;

2.3.17. To take part in research and educational activity in the field of sports, to help in the training of sports administrators by organising free courses and ensure that such courses contribute to the propagation of the fundamental principles of Olympism;

2.3.18. To protect exclusive rights of the IOC to use the Olympic symbol, flag, slogan, emblem and anthem and in the interests of the IOC to protect the words “Olympic” and “Olympiad”;

2.3.19. To encourage and support in all possible ways and using appropriate measures the promotion of women in sport at all levels and in all structures, especially in the executive bodies of national and international sports organisations by means of strict adherence to the principle of equality of men and women;

2.3.20. To oppose any political or commercial abuse of sport and athletes;

2.3.21. To supervise the events held under the patronage of the NOC of Ukraine in respect to responsible concern for environmental issues; to apply corresponding means of such concern in its activity and to teach it to everybody engaged with the Olympic Movement;

2.3.22. To preserve its autonomy and resist all pressures of any kind, including those of a political, economic and religious nature that may prevent the NOC of Ukraine from complying with the provisions of the Olympic Charter.

2.4. For achievement of purpose and performance of statutory tasks the NOC of Ukraine shall search and accumulate funds and additional resources to finance its activity.


Article 3. Members, their Rights and Duties


3.1. The membership in the NOC of Ukraine is voluntary and may be individual, honorary and honour.

3.2. Ukrainian citizens aged 18 who shall recognise the NOC of Ukraine Statutes and the Olympic Charter, shall assist and support its activity are eligible to be individual members of the NOC of Ukraine. Members of the NOC of Ukraine are not personally liable for the debts and obligations of the NOC of Ukraine.

3.3. Natural persons who are eligible to be elected to the composition of the NOC of Ukraine:

3.3.1. The representatives of Ukrainian National Olympic Sport Federations (two from each federation) who form the majority of votes at the General Assembly and in the NOC of Ukraine Executive Board;

3.3.2. The athletes (fifteen persons) having taking part at the Olympic Games who have to leave the NOC after the termination of the third Olympiad since the last Olympic Games in which they participated.

3.3.3. Representative (one) of the Olympic Academy of Ukraine;

3.3.4. Representatives (one from each) of divisions of the NOC of Ukraine in the Autonomous Republic of Crimea, regions of Ukraine, cities of Kyiv and Sevastopol;

3.3.5. Representatives (one from each) of sports societies and organisations as well as organisations on physical culture and sport of the Ministry of Defence and Ministry of Education and Science of Ukraine;

3.3.6. Representatives of other subjects of the Olympic Movement in Ukraine.
3.4. Any NOC of Ukraine member who retires and having rendered exceptional services to it may, upon the proposal of the Executive Board, be elected by the General Assembly as an honorary member of the NOC of Ukraine. Honorary members of the NOC of Ukraine are invited to the General Assemblies and other events held under the aegis of the NOC of Ukraine and have the right of a consultative vote.
3.5. Upon the proposal of the Executive Board the General Assembly may elect as honour members of the NOC of Ukraine eminent personalities who have made outstanding contribution to the development of the Olympic Movement in Ukraine. They are invited to the General Assemblies and other events held under the aegis of the NOC of Ukraine. Honour members do not have the right to vote.
3.6. The NOC of Ukraine and its Executive Board consist of the IOC members who live in Ukraine.
3.7. Admission to the NOC of Ukraine membership is subjected to the NOC of Ukraine General Assembly decision following the proposal of the Executive Board on conditions of:
3.7.1. Submitting to the Executive Board the decision of the competent body of a subject about admission to the membership in the NOC of Ukraine and in term which is defined by the latter’s decision;
3.7.2. The observance of the constituent documents of the NOC of Ukraine, the principles and rules of the Olympic Charter, provisions of the World Anti-Doping Code and the IOC Code of Ethics;
3.7.3. Assistance to the NOC of Ukraine activity.
3.8. NOC of Ukraine Members are the NOC of Ukraine representatives in territories, organisations and subjects which delegated them.

3.9. NOC of Ukraine Members have the rights:

3.9.1. To participate in the events which are held by the NOC of Ukraine;
3.9.2. To submit proposals to the Agenda of the General Assembly, Executive Board meetings concerning matters for discussion;
3.9.3. To elect and to be elected into governing bodies of the NOC of Ukraine;

3.9.4. To submit proposals to governing bodies of the NOC of Ukraine;

3.9.5. To receive the information on the NOC of Ukraine activities;

3.9.6. To participate, by assignment of the NOC of Ukraine Executive Board, in meetings, conferences and congresses which are assembled by the subjects of the Olympic Movement in Ukraine;

3.9.7. To apply to appropriate bodies of the NOC of Ukraine for assistance;

3.9.8. To leave the membership in the NOC of Ukraine at any time unsolicited.

3.10. NOC of Ukraine Members are obliged:

3.10.1. To adhere to the requirements of the NOC of Ukraine Statutes, the Olympic Charter, the World Anti-Doping Code and the IOC Code of Ethics;

3.10.2. To take an active part in the NOC of Ukraine activity;

3.10.3. To pay membership fees in due time if such are introduced by the General Assembly of the NOC of Ukraine;
3.10.4. To fulfil all respective decisions of the General Assembly and other elected bodies of the NOC of Ukraine;
3.10.5. To participate in General Assembly sessions;
3.10.6. To inform the Executive Board, upon request, about his activity as a Member of the NOC of Ukraine.

3.11. Each individual Member of the NOC of Ukraine shall have one vote.

3.12. Certificates and badges as previously sampled are issued to all NOC of Ukraine Members.

3.13. The authority and validity of mandates of the NOC of Ukraine Members are approved at the report-and-election sessions of the General Assembly every 4 years.

3.14. NOC of Ukraine Members are charged with their duties on voluntary basis, but their travel costs, accommodation fee etc. are reimbursed while executing their duties.

3.15. The NOC of Ukraine membership shall be ceased in following cases:

3.15.1. Termination of authority of the relevant representation;

3.15.2. Expulsion upon the General Assembly decision for constant failure to attend sessions of the latter and for failure to execute other membership duties;

3.15.3. Liquidation of the NOC of Ukraine;

3.15.4. Cease of activity of a federation or organisation which recommended a person to the membership in the NOC of Ukraine;

3.15.5. Voluntary written resignation delivered to the President. Before recognising such resignation the Executive Board may ask to hear the resigning Member of the NOC of Ukraine;

3.15.6. Acknowledgement by court that the NOC of Ukraine Member is incapable or untraceable;

3.15.7. Death.

3.16. A member, honorary member or honour member expelled from the IOC is not eligible to be the NOC of Ukraine Member.


Article 4. Legal Status

4.1. The NOC of Ukraine as the juridical person shall have the right to act by participating in civil-law relations, to acquire the property and non-property rights, to act as the claimant and defendant in courts, economic and arbitration courts.

4.2. The NOC of Ukraine has the exclusive right:

4.2.1. To enter for participation in the Olympic Games competitors, coaches, trainers and team officials who shall act according to the Olympic Charter and according to the rules of the relevant IF. The persons entered should respect the spirit of fair play without violence and act in the field of play accordingly; respect and comply with all the aspects of the World Anti-Doping Code;
The NOC of Ukraine shall exercise this right only upon the recommendations for entries given by NFs in Olympic sports. If the NOC of Ukraine approves thereof, it shall transmit such entries to the OCOG. The OCOG must acknowledge their receipt. The NOC of Ukraine must investigate the validity of the entries proposed by the National Olympic Sport Federations and ensure that no one has been excluded for racial, religious or political reasons or by reason of other forms of discrimination. The NOC of Ukraine shall send to the Olympic Games only those competitors adequately prepared for high level international competitions.
4.2.2. To recognise organisations which activity is connected with its role and sport, subject to:
• Functioning of such organisations at the national level;
• Conformity of the activity and statutes of these organisations, approved by the relative IFs, with the provisions and requirements of the Olympic Charter;
• Adherence to the provisions of the World Anti-Doping Code and the IOC Code of Ethics;
• Establishing of these organisations according to Ukrainian legislation and requirements of respective IFs, recognised by the IOC;
• Possessing the status of a juridical person in Ukraine or legalised in other way in the order determined by current Ukrainian legislation.
4.2.3. To prescribe and determine the clothing and uniforms to be worn by the members of its delegation on the occasion of the Olympic Games and in connection with all sports competitions and ceremonies related hereto;
4.2.4. To appoint:
• Attaché whose mission is to act as intermediary between the OCOG and the NOC of Ukraine in order to assist in solving issues of preparation and participation of the delegation of the NOC of Ukraine in the Olympic Games;
• Chef de mission who is responsible for the competitors, officials and other team personnel of the NOC of Ukraine during the Olympic Games and brings up questions on accreditation cancellation at the Olympic Games to OCOG in accordance with the established procedure.

4.3. The NOC of Ukraine has the right:
4.3.1. To submit to the IOC the proposals on changes to the Olympic Charter and the Olympic Movement in general, including the organisation and conducting of the Olympic Games;
4.3.2. To co-operate in preparation of Olympic congresses;
4.3.3. To participate in activities of IOC commissions upon the latter’s request;
4.3.4. To define city which can bid for the organisation of the Olympic Games in Ukraine;
4.3.5. To create NOC of Ukraine divisions in the Autonomous Republic of Crimea, regions of Ukraine, cities of Kyiv and Sevastopol with the right to represent the NOC of Ukraine on the relevant territory on the basis of the Regulations which are adopted by their governing bodies and approved by the NOC of Ukraine Executive Board. The Regulations of the NOC of Ukraine divisions should not contradict to the NOC of Ukraine Statutes, the Olympic Charter and current legislation of Ukraine;
4.3.6. To carry out economical activities by creation of management agencies;
4.3.7. To conclude any agreements according to the current legislation.

4.4. The NOC of Ukraine, its created divisions, enterprises and organisations can have the property such as premises, buildings, available housing, financial resources, securities and other assets necessary for performance of statutory tasks.

4.5. The NOC of Ukraine can give property, financial and other assistance to juridical and physical persons. The NOC of Ukraine can organisationally and financially support National Olympic Sport Federations and other subjects of the Olympic Movement in Ukraine.

4.6. The NOC of Ukraine represents and protects its legitimate interests and legitimate interests of its members in state and non-governmental organisations.

4.7. The NOC of Ukraine can join international non-governmental and other organisations, set direct international contacts and relations, conclude appropriate agreements, and also participate in taking measures which do not contradict to international obligations of Ukraine.

4.8. The NOC of Ukraine has the right to disseminate the information and to propagate its ideas, establish own mass media.

4.9. Conditions for recognition of the subjects of the Olympic Movement by the NOC of Ukraine:

With the aim to promote the Olympic Movement in Ukraine the NOC of Ukraine shall recognise, i.e. grant the status of belonging to the Olympic Movement to the subjects which activity is associated with its role and sport, subject to:

• Functioning of such subjects at the national level;
• Performing special and concrete sport activity by these organisations and their affiliation to the relevant IF recognised by the IOC;
• Conformity of the activity and statutes of these organisations, approved by the relative IFs, with the provisions and requirements of the Olympic Charter;
• Adherence to the provisions of the World Anti-Doping Code and the IOC Code of Ethics;
• Establishing of these organisations according to Ukrainian legislation and requirements of respective IFs, recognised by the IOC;
• Possessing the status of a juridical person in Ukraine.

4.9.1. The NOC of Ukraine shall not recognise more than one National Olympic Sport Federation governed by an IF listed in the Rule 51 of the Olympic Charter.


Article 5. Statutory Bodies, their Competency and Order of Establishment

5.1. The governing bodies of the NOC of Ukraine are as follows:

5.1.1. The General Assembly;

5.1.2. The Executive Board;

5.1.3. The President.

The General Assembly

5.2. The highest governing body of the NOC of Ukraine is the General Assembly. It consists of all NOC of Ukraine Members and shall hold its sessions not less than once per year.

5.3. The following points are referred to the exclusive competency of the General Assembly:

5.3.1. Approval of the NOC of Ukraine Statutes;

5.3.2. Approval of changes and amendments to the NOC of Ukraine Statutes;

5.3.3. Defining basic trends of activities and development of the NOC of Ukraine;

5.3.4. Consideration of questions on the development of the Olympic Movement in Ukraine;

5.3.5. Adoption of basic and binding decisions for all members concerning the activities of the NOC of Ukraine;

5.3.6. Recognition of the subjects of the Olympic Movement;

5.3.7. Defining of personal and quantitative composition of the NOC of Ukraine, Vice-Presidents, Executive Board;

5.3.8. Hearing and approval of reports of the NOC of Ukraine President, the Executive Board and the Auditing Commission;

5.3.9. Approval of the estimate of income and expenditures of the year that ended, current estimate of the actual income and expenditures in the year of the General Assembly holding and next year budget;

5.3.10. Conducting report-and-election session once per four years for electing NOC of Ukraine members, for election or re-election of the NOC of Ukraine President, the First Vice-President, Vice-Presidents, Secretary General, members of the Executive Board and the Auditing Commission;

5.3.11. Introduction of membership fees, approval of their amount and order of payment;

5.3.12. Approval in accordance with established procedure of Olympic emblem, flag, anthem, logo for products and services, samples of seal and stamps;

5.3.13. Affirmation of the Honorary reward of the NOC of Ukraine and Regulations about it;

5.3.14. Election of honorary members and honour members;

5.3.15. Adoption of the decision on the cease of the NOC of Ukraine activity, assignment of the Liquidation Commission, affirmation of the liquidation balance;

5.4. The following points are referred to the competency of the General Assembly:

5.4.1. Application of ethics and disciplinary sanctions to the subjects of the Olympic Movement in accordance with procedure and order determined by the Regulations of the Ethics-Disciplinary Commission of the NOC of Ukraine, in particular:
• Complete or partial suspension of authorities for the determined period for violation of the Statutes provisions, Olympic Charter or current legislation, or for immoral act that jeopardised the interests of the NOC of Ukraine;
• Suspension or withdrawal of recognition for violation of the Olympic Charter or current legislation, or for acts that jeopardised the interests of the NOC of Ukraine;

Until the General Assembly decides on an expulsion the Executive Board may provisionally deprive the member concerned of all or part of the rights, prerogatives and functions deriving from his membership.

5.4.2. Decision on other matters of the NOC of Ukraine activities.

5.5. The General Assembly can delegate some authorities to the NOC of Ukraine Executive Board except for those which refer to the exclusive competency of the General Assembly.

5.6. The extraordinary session of the General Assembly is convened upon the request of the President or not less than one third of members of the NOC of Ukraine.

5.7. The place of conducting the General Assembly session is defined by the Executive Board, and of the extraordinary session – by the NOC of Ukraine President.

5.8. The General Assembly of the NOC of Ukraine has the right to make decisions only upon questions which are included into the agenda and in case of presence of not less than half of its members. Decisions are accepted by open voting with a simple majority of votes of NOC members present at the session except for decisions on reorganisation and liquidation of the NOC of Ukraine, changes and amendments to the Statutes which are accepted with the presence of not less than 3/4 of members of the NOC of Ukraine by the majority in 3/4 of votes present. The voting by proxy is not authorised. The General Assembly has the right to take the decision on secret vote of any question of the agenda upon the proposition of the simple majority of NOC of Ukraine members present. The President or, in case of his absence, one of Vice-Presidents by order of the President chairs the General Assembly. During calculations of the necessary majority the votes of those who abstained as well as empty or spoiled bulletins are not taken into consideration. If there is an equality of votes the vote of the President or the Chairman is decisive.

5.9. The agenda should be notified to NOC of Ukraine members at least 15 days before calling of the General Assembly.

5.10. While resolving the matters relating to the Olympic Games only votes of the Executive Board Members and representatives of National Olympic Sport Federations shall be taken into account.

The Executive Board

5.11. The Executive Board of the NOC of Ukraine (hereinafter Executive Board) shall be elected for 4 years from NOC of Ukraine members by the report-and-election General Assembly where the quantitative composition of the Executive Board is defined.

5.12. The Executive Board of the NOC of Ukraine shall consist of:

5.12.1. The President of the NOC of Ukraine;

5.12.2. Vice-Presidents, one of them is the First;

5.12.3. Representatives of National Olympic Sport Federations who should constitute the majority in the composition of the Executive Board;

5.12.4. IOC Members who live in Ukraine;

5.12.5. The Secretary General of the NOC of Ukraine;

5.12.6. Representative of the Olympic Academy of Ukraine;

5.12.7. Representatives of Ethics-Disciplinary Commission and Athletes Commission;

5.12.8. Other members who are elected by the General Assembly.

5.13. The Executive Board shall:

5.13.1. Put into consideration of the report-and-election General Assembly the proposition concerning the quantitative and personal composition of the NOC of Ukraine;

5.13.2. Supervise the current activity of the NOC of Ukraine during the period between General Assemblies;

5.13.3. Control the observance by NOC of Ukraine members of provisions of the NOC of Ukraine Statutes, principles of the Olympic Charter and current legislation of Ukraine;

5.13.4. Define the agenda of ordinary and extraordinary General Assemblies;

5.13.5. Control the observance by NOC of Ukraine divisions of their regulations;

5.13.6. Resolve current matters of NOC of Ukraine financial and economic activities;

5.13.6.1. On reasonable grounds makes changes to the income and expenditures year estimate by means of budget items redistribution within the frame of the approved amount;

5.13.7. Make decisions on creation, reorganisation, liquidation of NOC of Ukraine divisions, self-financing entities, enterprises, institutions and also approves their statutes and regulations;

5.13.8. Ensure fulfilment of decisions of the General Assembly of the NOC of Ukraine;

5.13.9. Define, upon the proposal of the President, the range of authorities of the First Vice-President, Vice-Presidents and other Executive Board members;

5.13.10. Develop proposals on various aspects of functioning of the NOC of Ukraine;

5.13.11. Make decisions on awarding with Honorary reward of the NOC of Ukraine and other awards;

5.13.12. Make decisions on granting NOC patronage, upon such terms and conditions as it may consider appropriate, to national or regional multisports competitions on condition that they take place in strict compliance with the Olympic Charter and are organized under the control of the NOC of Ukraine or subjects of the Olympic Movement. The NOC of Ukraine patronage may be granted to the other events, provided such events are in keeping with the goal of the Olympic Movement.

5.13.13. Create standing commissions or commissions assembled by perforce and working groups; define their duties, make decision on their dissolution. Athletes Commission and Ethics-Disciplinary Commission are standing commissions of the NOC of Ukraine. Their composition, election procedure, powers and other fundamental functions are determined by their Regulations. The Executive Board has the right to delegate all or part of its powers on ethics and disciplinary sanctions to the Ethics-Disciplinary Commission.

5.13.14. Apply ethics and disciplinary sanctions to the subjects of the Olympic Movement in accordance with procedure and order determined by the Regulations of the Ethics-Disciplinary Commission, namely:
• Warning
• Reprimand
• Suspension of financing
• Exclusion from competitions
Procedure and order for application of ethics and disciplinary sanctions to the subjects of the Olympic Movement are determined by the Regulations of the Ethics-Disciplinary Commission.

5.14. The President shall preside at Executive Board meetings, and in case of his absence one of Vice-Presidents does it by proxy of the President. The Executive Board shall have the right to make decisions only in case of the presence of not less than a half of total number of its composition. Decisions shall be accepted by simple majority of votes of those present at meeting. In case of equality of votes the vote of the NOC of Ukraine President or the Chairman is decisive.

5.14.1. In case of urgency the President or one of Vice-Presidents by proxy of the President may submit a resolution to vote by poll. If general number of answers received during determined period is not less than a half of the total number of Executive Board members plus one and if the number of votes in support of a resolution reaches required majority such resolution is considered approved.

5.15. The Executive Board shall hold its meetings not less than once per three months and can be assembled unscheduled by the decision of the President or on request of not less than one third of the Executive Board members. If necessary the Executive Board may take decisions on closed meeting and on vote procedure.

The President

5.16. The President of the NOC of Ukraine is elected from the NOC of Ukraine members by the report-and-election General Assembly of the NOC of Ukraine for the period of 4 years. The President can be elected for any following four-year term. The submission of candidates for the position of the President is closed 15 days before the first day of conducting report-and-election General Assembly.

5.17. For the time the President cannot fulfil his duties the First Vice-President or one of Vice-Presidents by proxy of the President does it.

5.18. The President of the NOC of Ukraine shall:

5.18.1. Chair the Executive Board;

5.18.2. Prepare and call Executive Board meetings, preside there;

5.18.3. Represent the NOC of Ukraine in Ukraine and abroad;

5.18.4. Sign agreements and other documents on behalf of the NOC of Ukraine;

5.18.5. On behalf of the NOC of Ukraine be in charge of finances and assets of the NOC of Ukraine according to decisions of the General Assembly, the Executive Board and Statutes tasks of the NOC of Ukraine;

5.18.6. Represent the Olympic Movement of Ukraine and also protect its interests;

5.18.7. Direct the execution of the NOC of Ukraine programs;

5.18.8. Appoint and dismiss the Director, approve the range of his authorities. Approve the staff list and composition of the NOC of Ukraine Administration, determine staff salaries, conclude contracts with the NOC of Ukraine staff in cases foreseen by the law;

5.18.9. Prepare proposals for the General Assembly concerning the candidatures of the First Vice-President, Vice-Presidents, General Secretary and members of the Executive Board;

5.18.10. Put into consideration by the Executive Board propositions concerning the range of authorities of the First Vice-President, Vice-Presidents, General Secretary and other Executive Board members;

5.18.11. Appoint and dismiss officials of enterprises, institutions and establishment of the NOC of Ukraine, conclude contracts with them if the other is not provided in the statutes of these enterprises, institutions and establishment of the NOC; coordinate the activity of enterprises, institutions and establishment of the NOC;

5.18.12. Act on behalf of the NOC of Ukraine, without proxy, in relations with enterprises, establishments and organisations of any form of property that are registered in Ukraine and/or abroad;

5.18.13. Give commissions and proxies on behalf of the NOC of Ukraine;

5.18.14. Establish working bodies (commissions, working groups) to solve current issues of the NOC of Ukraine activity, approve their authorities, appoint their chairmen and members;

5.18.15. Conduct international activity of the NOC, conclude contracts and agreements with the bodies of the Olympic Movement of the other countries and also with international sport organisations;

5.18.16. Give approval for appointment and dismissal of the heads of structural departments of Administration and also authorise them for particular actions on behalf of the NOC of Ukraine;

5.18.17. Issue orders, instructions etc;

5.18.18. Execute other functions except those within the competence of the General Assembly and the Executive Board.

Vice-Presidents

5.19. The First Vice-President of the NOC of Ukraine, Vice-Presidents of the NOC of Ukraine are elected by the General Assembly of the NOC of Ukraine at the suggestion of the President for 4 years and fulfil their duties proposed by the President and approved by the Executive Board in accordance with the present Statutes.

The Secretary General

5.20. The Secretary General of the NOC of Ukraine at the suggestion of the President is elected by the General Assembly of the NOC of Ukraine for 4 years.

5.21. The activity of the Secretary General is regulated by the “Regulations on the Executive Administration” and other documents of the NOC of Ukraine.

5.22. The Secretary General fulfils the following functions:

5.22.1. Makes drafts of annual report on the activity of the Executive Board;

5.22.2. Represents the NOC of Ukraine in various authorities by proxy of the President;

5.22.3. By proxy of the President signs the documents on behalf of the NOC of Ukraine;

5.22.4. Manages and controls implementation of Olympic Solidarity programmes;

5.22.5. Makes up and signs the protocols of meetings together with the President;

5.22.6. Ensures the preparation of documents in accordance with the decisions of the General Assembly and the Executive Board.

5.22.7. Organises activity on keeping documents and archive of the NOC of Ukraine.

5.22.8. Takes responsibility for concrete actions on accomplishment of the NOC of Ukraine international programmes.

The Auditing Commission

5.23. The NOC of Ukraine Auditing Commission is elected by the General Assembly for 4 years and consists of three NOC of Ukraine members. The members of the Auditing Commission elect the Chairman and the Secretary from its composition.

5.24. The Auditing Commission acts on the basis of the Regulations approved by the General Assembly.

5.25. The Auditing Commission has the right to demand from the NOC of Ukraine functionaries the submission of all necessary materials, accounting and other documents.

5.26. The Auditing Commission has the right to involve independent experts into its work.

5.27. The Auditing Commission shall be accountable and report on the results of the conducted monitoring to the General Assembly not less than once per year.

The Executive Administration

5.28. The Executive Administration of the NOC of Ukraine can be established to fulfil current tasks, ensure logistical support of the main activity. Its structure and forms of activity are defined in the “Regulations on the Executive Administration”, that shall be approved, including its budget, by the President of the NOC of Ukraine.

5.29. The Executive Administration is chaired by the Executive Director, who is appointed and dismissed from this post according to paragraph 5.18.8. of the present Statutes, and who acts on the grounds of the “Regulations on the Executive Administration” and/or proxy.

5.30. The Executive Director shall act under control and be accountable to the President and the Executive Board of the NOC of Ukraine and takes personal responsibility for the fulfilment of entrusted tasks and functions.


Article 6. Local Divisions of the NOC of Ukraine

6.1. Local divisions of the NOC of Ukraine are regional divisions of the NOC of Ukraine that are the basis of its organisational structure. Regional divisions are established in Ukraine for the performance of statutory tasks of the NOC of Ukraine.

6.2. Local divisions of the NOC of Ukraine perform their activity in accordance with the current legislation of Ukraine, NOC Statutes and their own Statutes or Regulations approved by the Executive Board. Provisions of the present Statutes concerning the aim, tasks and membership in the NOC shall be included in the Regulations of the local divisions of the NOC of Ukraine.

6.3. Local divisions of the NOC of Ukraine are juridical persons, have independent balance, the seal and stamps with the of the NOC name and with its own name, banking accounts other requisites.

6.4. Local divisions of the NOC of Ukraine are established, reorganised and liquidated according to paragraph 5.13.7. of the present Statutes.

6.5. The order of electing the local division members shall comply with the present NOC Statutes and be determined in the corresponding Regulations approved by the Executive Board of the NOC of Ukraine.

6.6. Performing their statutory activity local divisions of the NOC of Ukraine co-operate with state bodies and institutions of local governing.

6.7. Local divisions of the NOC of Ukraine:
- Take part in the development of the Olympic Movement in corresponding region;
- Encourage the involving of national and foreign funds for the development of regional sport infrastructure;
- Perform economical activity by creation of management agencies in the order determined by the current legislation and upon the approval of the Executive Board of the NOC of Ukraine.

6.8. The division Auditing Commission, the NOC of Ukraine Executive Board and the Auditing Commission shall control economical activity of local divisions.


Article 7. Procedures

7.1. In case of early cease of membership of any NOC of Ukraine member including the President, the First Vice-President, Vice-Presidents, the General Secretary and other Executive Board members the General Assembly at its next Session elects a new NOC of Ukraine member who takes vacant position and serves the term of membership of his predecessor.

7.2. Procedure for General Assembly holding:

7.2.1. The President or, in his absence, the attending Vice-President by proxy of the President chairs the Session of the General Assembly. In case of absence of the President and Vice-Presidents the General Assembly is chaired by the attending NOC Executive Board member who is senior in such office.

7.2.2. The Chairman declares the Session open on the grounds of the information by the General Secretary concerning the registration of NOC of Ukraine members and quorum required, presides over it and closes the Session.

7.2.3. Procedure for the holding of organizational part of the report-and-election General Assembly:

7.2.3.1. Current NOC of Ukraine members, following the procedure and quotas determined by the Statutes, elect new personal and quantitative NOC of Ukraine composition in the following order:
- representatives of National Olympic Sport Federations whose majority should constitute at least 10 persons in comparison to other representatives;
- representatives of regional divisions of the NOC of Ukraine;
- representatives of sports state and non-governmental organizations which contribute to the development of Olympism;
- representatives of the Athletes Commission and Ethics-Disciplinary Commission;
- representatives of other subjects of the Olympic Movement in Ukraine.

7.2.3.2. After termination of authorities of the elective bodies and members of the NOC of Ukraine, the Working Presidium consisting of the IOC members in Ukraine, senior NOC of Ukraine member representing NFs and Secretary of the Working Presidium open the organizational meeting.

7.2.3.3. The Working Presidium starts the procedure of the President election according to procedures determined by the Statutes.

7.2.3.4. Upon election, the new President chairs the organizational meeting.

7.2.3.5. Upon the proposal of the President, new composition of the NOC of Ukraine members elects Vice-Presidents, General Secretary, other Executive Board members, Auditing Commission members and other members of the NOC of Ukraine who belong to the category of individuals supporting the development of sport and Olympism in Ukraine.

7.2.3.6. The President closes the organizational meeting.

7.3. Procedure for the President election:

7.3.1. The President is elected, by secret ballot, for the period of 4 years from among the NOC of Ukraine members by the report-and-election General Assembly which takes place in the year of winter Olympic Games. The President may be re-elected for any further four-year term. The submission of candidates for the position of the President is closed 15 days before the first day of conducting report-and-election General Assembly.

7.3.2. In case of withdrawal by the candidates from taking part in elections for the office of the President the candidatures are submitted directly by the participants of the report-and-election General Assembly.

7.4. Procedure for the election of the Executive Board members:

7.4.1 The Executive Board is elected, upon the proposal of the President, from the NOC of Ukraine members for the period of 4 years by the report-and-election General Assembly which determines its personal and quantitative composition.

7.4.2. In case of vacancy the General Assembly elects a new Executive Board member at its next session. The newly elected Executive Board member finishes the term of office of his predecessor. After that he has the right for any office within the Executive Board of the new NOC of Ukraine composition.


Article 8. The Funds and Assets

8.1. The NOC of Ukraine may possess its funds and assets which are necessary for accomplishment of its Statutes activity.

8.2. The NOC of Ukraine funds shall be formed by:

8.2.1. Membership fees, voluntary and charitable contributions, donations, other financial payments from organisations, enterprises, juridical persons, Ukrainian and foreign citizens as money, equipment, assets and services;

8.2.2. Incomes from economical and other commercial activity of management agencies created by the NOC of Ukraine;

8.2.3. Sponsors’ payments, incomes from conducting sports events and use of symbolics of the NOC of Ukraine which do not contradict to the current legislation.

8.3. According to the current legislation of Ukraine, the present Statutes and concluded agreements, the assets of the NOC of Ukraine belong to the latter under the property rights.

8.4. The NOC of Ukraine shall be the owner of:

8.4.1. Assets and funds transferred to it by its members or by the state in accordance with established procedure;

8.4.2. Assets acquired for its own funds or on other basis which is not forbidden by the current legislation of Ukraine;

8.4.3. Other assets and funds acquired on legal ground.

8.5. The NOC of Ukraine shall freely dispose its own funds and use them for the performance of the Statutes tasks. The NOC of Ukraine itself defines amounts and forms of its funds application and financial grants to the subjects of the Olympic Movement.


Article 9. Accounting and Book-Keeping

9.1. The accounting, operational and statistical account and book-keeping in the NOC of Ukraine shall be carried out according to the current legislation of Ukraine.

9.2. The President of the NOC of Ukraine is responsible for the state of accounting, duly presentation of book-keeping and other accounting reports. Book-keeping and making accounts are fulfilled by the Accountant who follows the Regulations on the organisation of book-keeping and accounting in Ukraine.

9.3. The fiscal year is fixed from January 1 till December 31 inclusive. The annual financial report of the NOC of Ukraine is made up not later than in 25 days after the termination of the fiscal year.

9.4. The NOC of Ukraine and its divisions and management agencies shall be obliged to conduct annual audit check-up, operational, book-keeping and statistical accounting, to be registered in state tax authorities and to deposit payments to the state budget in order and amounts stipulated by the current legislation of Ukraine.


Article 10. Changes and Amendments to the Statutes

10.1. The changes and amendments to the present Statutes are made by the decision of the General Assembly of the NOC of Ukraine in the order which is stipulated by the paragraph 5.8. of the Article 5 of the present Statutes.

10.2. The Executive Board is obliged to notify the body that carried out the registration about changes and amendments to these Statutes for making correspondent changes to the state register after receiving the approval from the International Olympic Committee.

10.3. In case of discrepancies in interpreting the provisions of these Statutes and the Olympic Charter, the preference is given to the latter.


Article 11. Cease of Activity

11.1. The cease of activity of the NOC of Ukraine can be carried out by its re-organisation (merger, division, joining, separation, transformation) or liquidation.

11.2. The re-organisation of the NOC of Ukraine is realised under the decision of the General Assembly. Thus all set of rights and duties shall be transferred to its assignees.

11.3. The NOC of Ukraine shall be liquidated:

11.3.1.Upon the decision of the General Assembly;

11.3.2.Upon the court decision.

11.4. The liquidation of the NOC of Ukraine is carried out by the Liquidation Commission designated by the General Assembly, and in case of liquidation upon the court decision it is done by the Liquidation Commission designated by the court of justice.

11.5. Since the date of designation of the Liquidation Commission the authority on management of the NOC of Ukraine is given to this Commission. In three-day term the Liquidation Commission publishes the information on the cease of the NOC of Ukraine activity in the official printed media bodies indicating the term of creditors filing.

11.6. The Liquidation Commission shall estimate available assets of the NOC of Ukraine, reveal its debtors and creditors and pay them off, take measures to pay off the debts of the NOC of Ukraine to third parties as well as to its members, make up the liquidation balance and submit it to the body which designated the Liquidation Commission.

11.7. In case of its liquidation the funds and assets of the NOC of Ukraine should be transferred to another similar non-profit organisation or should become a profit of the state.


Article 12. Arbitration

12.1. Any NOC of Ukraine member who considers his rights and concerns being violated by any elective body or any official of the NOC of Ukraine has the right to contest the decision with respective Commission, Executive Board, General Assembly. The appeal against the decision of the General Assembly shall be submitted to the international Court of Arbitration for Sport not later than in 21 (twenty one) days.
